I. Introduction and Overview
Whether you are using this Site or purchase Services or simply browsing, your use of this Site and your electronic acceptance of this Agreement signifies that you have read, understand, acknowledge and agree to be bound by this Agreement, along with the following policies and agreements, which are incorporated herein by reference:
The terms “we”, “us” or “our” shall refer to Payment Career. The terms “you”, “your”, “User”, “customer” or “Subscriber” shall refer to any individual or entity who accepts this Agreement, has access to your account or uses the Services. Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.
Payment Career may, in its sole and absolute discretion, change or modify this Agreement, and any policies or agreements which are incorporated herein, at any time, and such changes or modifications shall be effective immediately upon posting to this Site. You acknowledge and agree that (i) Payment Career may notify you of such changes or modifications by posting them to this Site, and (ii) your use of this Site or the Services after such changes or modifications have been made (as indicated by the “Last Revised” date at the top of this page) shall constitute your acceptance of these Terms and Conditions as last revised. IF YOU DO NOT AGREE TO BE BOUND BY THIS AGREEMENT AS LAST REVISED, DO NOT USE (OR CONTINUE TO USE) THIS SITE OR THE SERVICES. If you are already a Subscriber and no longer wish to be bound by this Agreement, You shall send an email to email@example.com informing Payment Career that you wish you terminate your access to the Services.
No agency, partnership, joint venture, or employment is created as a result of this Agreement and Subscriber does not have any authority of any kind to bind Payment Career in any respect.
II. Eligibility; Authority
The Services are offered strictly to Users who can form legally binding contracts under applicable law. By using this Site or the Services, you represent and warrant that you are (i) at least eighteen (18) years of age or are otherwise recognized as being able to form legally binding contracts under applicable law, and (iii) are not a person barred from purchasing or receiving the Services under the laws of the United States or other applicable jurisdiction.
If you are entering into this Agreement on behalf of a corporate entity, you represent and warrant that you have the legal authority to bind such corporate entity to the terms and conditions contained in this Agreement, in which case the terms “you”, “your”, “User”, “Subscriber” or “Customer” shall refer to such corporate entity. If, after your electronic acceptance of this Agreement, Payment Career finds that you do not have the legal authority to bind such corporate entity, you will be personally responsible for the obligations contained in this Agreement, including, but not limited to, the payment obligations. Payment Career shall not be liable for any loss or damage resulting from Payment Careers’ reliance on any instruction, notice, document or communication reasonably believed by Payment Career to be genuine and originating from an authorized representative of your corporate entity. If there is reasonable doubt about the authenticity of any such instruction, notice, document or communication, Payment Career reserves the right (but undertakes no duty) to require additional authentication from you.
The job posting, resume database (“Payment Career Resume Database”) and other features of the Payment Career Sites may be used only by individuals seeking employment and/or career information and by employers seeking employees. Your use of the Payment Career Services is also subject to any other contracts You may have with Payment Career. In the case of any conflict between these Terms and any contract you have with Payment Career, the terms of your contract will prevail. The term “post” as used herein shall mean information that You submit, publish or display on a Payment Career Site.
All Payment Career Users agree to not:
(b) take any action that imposes an unreasonable or disproportionately large load on any Payment Career Site’s infrastructure;
(c) use any device to navigate or search any Payment Career Site other than the tools available on the Site, generally available third party web browsers, or other tools approved by Payment Career;
(d) use any data mining, robots or similar data gathering or extraction methods;
(e) violate or attempt to violate the security of any Payment Career Site including attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization;
(f) forge any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting;
(g) reverse engineer or decompile any parts of any Payment Career Site;
(h) aggregate, copy or duplicate in any manner any of the Payment Career Content or information available from any Payment Career Site, including expired job postings, other than as permitted by these Terms;
(i) frame or link to any Payment Career Content or information available from any Payment Career Site, unless permitted by these Terms;
(j) post any content or material that promotes or endorses false or misleading information or illegal activities, or endorses or provides instructional information about illegal activities or other activities prohibited by these Terms, such as making or buying illegal weapons, violating someone’s privacy, providing or creating computer viruses or pirating media;
(k) post any resume or apply for any job on behalf of another party;
(l) defer any contact from an employer to any agent, agency, or other third party;
(m) set more than one copy of the same resume to public at any one time;
(n) share with a third party any login credentials to any Payment Career Site;
(o) access data not intended for You or logging into a server or account which You are not authorized to access;
(p) post or submit to any Payment Career Site any incomplete, false or inaccurate biographical information or information which is not Your own;
(q) post content that contains restricted or password-only access pages, or hidden pages or images;
(r) solicit passwords or personally identifiable information from other Users;
(s) delete or alter any material posted by any other person or entity;
(t) harass, incite harassment or advocate harassment of any group, company, or individual;
(u) send unsolicited mail or email, make unsolicited phone calls or send unsolicited faxes promoting and/or advertising products or services to any User, or contact any users that have specifically requested not to be contacted by You;
(v) attempt to interfere with service to any User, host or network, including, without limitation, via means of submitting a virus to any Payment Career Site, overloading, “flooding”, “spamming”, “mailbombing” or “crashing”;
(w) promote or endorse an illegal or unauthorized copy of another person’s copyrighted work, such by as providing or making available pirated computer programs or links to them, providing or making available information to circumvent manufacture-installed copy-protect devices, or providing or making available pirated music or other media or links to pirated music or other media files; or
(x) use the Payment Career Services for any unlawful purpose or any illegal activity, or post or submit any content, resume, or job posting that is defamatory, libelous, implicitly or explicitly offensive, vulgar, obscene, threatening, abusive, hateful, racist, discriminatory, of a menacing character or likely to cause annoyance, inconvenience, embarrassment, anxiety or could cause harassment to any person or include any links to pornographic, indecent or sexually explicit material of any kind, as determined by Payment Career’s discretion.
Violations of system or network security may result in civil and/or criminal liability. Payment Career will investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting Users who are involved in such violations.
You are responsible for maintaining the confidentiality of Your account, Profile and passwords, as applicable. You may not share Your password or other account access information with any other party, temporarily or permanently, and You shall be responsible for all uses of Your Payment Career Site registrations and passwords, whether or not authorized by You. You agree to immediately notify Payment Career of any unauthorized use of Your account, Profile, or passwords.
Additional Terms Applicable to Employers and Recruiters.
Employers and Recruiters are solely responsible for their postings on Payment Career Sites. Payment Career is not to be considered to be an employer with respect to Your use of any Payment Career Site and Payment Career shall not be responsible for any employment decisions, for whatever reason, made by any entity posting jobs on any Payment Career Site.
You understand and acknowledge that if You cancel Your employer or recruiter account or Your employer or recruiter account is terminated, all Your account information from Payment Career, including saved resumes, network contacts, and email mailing lists, will be marked as deleted in and may be deleted from Payment Career’s databases. Information may continue to be available for some period of time because of delays in propagating such deletion through Payment Career’s web servers.
Candidate profiles derived from User Content may also be made available through the Sites. Payment Career does not make any representations regarding the accuracy or validity of such derived works or their appropriateness for evaluation by employers. Derived profiles may vary significantly from User Content.
A Job posting may not contain:
(a) any hyperlinks, other than those specifically authorized by Payment Career;
(b) misleading, unreadable, or “hidden” keywords, repeated keywords or keywords that are irrelevant to the job opportunity being presented, as determined in Payment Career’s reasonable discretion;
(c) the names, logos or trademarks of unaffiliated companies other than those of your customer save where expressly agreed by Payment Career;
(d) the names of colleges, cities, states, towns or countries that are unrelated to the posting;
(e) more than one job or job description, more than one location, or more than one job category, unless the product so allows;
(f) inaccurate, false, or misleading information; and
(g) material or links to material that exploits people in a sexual, violent or other manner, or solicits personal information from anyone under 18.
You may not use Your Payment Career job posting or Payment Career Networking to:
(a) post jobs in a manner that does not comply with applicable local, national and international laws, including but not limited to laws relating to labor and employment, equal employment opportunity and employment eligibility requirements, data privacy, data access and use, and intellectual property;
(b) post jobs that require citizenship of any particular country or lawful permanent residence in a country as a condition of employment, unless otherwise required in order to comply with law, regulations, executive order, or federal, state or local government contract;
(c) post jobs that include any screening requirement or criterion in connection with a job posting where such requirement or criterion is not an actual and legal requirement of the posted job;
(d) post jobs or other advertisements for competitors of Payment Career or post jobs or other content that contains links to any site competitive with Payment Career;
(e) sell, promote or advertise products or services;
(f) post any franchise, pyramid scheme, “club membership”, distributorship, multi-level marketing opportunity, or sales representative agency arrangement;
(g) post any business opportunity that requires an up front or periodic payment or requires recruitment of other members, sub-distributors or sub-agents;
(h) post any business opportunity that pays commission only unless the posting clearly states that the available job pays commission only and clearly describes the product or service that the job seeker would be selling;
(i) promote any opportunity that does not represent bona fide employment which is generally indicated by the employer’s use of IRS forms W-2 or 1099;
(j) post jobs on any Payment Career Site for modeling, acting, talent or entertainment agencies or talent scouting positions;
(k) advertise sexual services or seek employees for jobs of a sexual nature;
(l) request the use of human body parts or the donation of human parts, including, without limitation, reproductive services such as egg donation and surrogacy;
(m) endorse a particular political party, political agenda, political position or issue;
(n) promote a particular religion;
(o) post jobs located in countries subject to economic sanctions of the United States Government; and
(p) except where allowed by applicable law, post jobs which require the applicant to provide information relating to his/her (i) racial or ethnic origin (ii) political beliefs (iii) philosophical or religious beliefs (iv) membership of a trade union (v) physical or mental health (vi) sexual life (vii) the commission of criminal offences or proceedings or (viii) age.
Payment Career reserves the right to remove any job posting or content from any Payment Career Site, which in the reasonable exercise of Payment Career’s discretion, does not comply with the above Terms, or if any content is posted that Payment Career believes is not in the best interest of Payment Career.
If at any time during Your use of the Payment Career Services, You made a misrepresentation of fact to Payment Career or otherwise misled Payment Career in regards to the nature of Your business activities, Payment Career will have grounds to terminate Your use of the Payment Career Services.
Use of the Payment Career Resume Database by Employers and Recruiters
You shall use the Payment Career Resume Database as provided in these Terms and in any contract You have with Payment Career. You shall use the Payment Career Resume Database in accordance with all applicable privacy and data protection laws, and You agree You shall not further disclose any of the data from Payment Career Resume Database to any third party, unless You are an authorized recruitment agency, staffing agency, advertising or other agency or using the resume explicitly for employment purposes.
You shall take appropriate physical, technical, and administrative measures to protect the data You have obtained from Payment Career Resume Database from loss, misuse, unauthorized access, disclosure, alteration or destruction. You shall not share Resume Database seat-based license login credentials with any other party, nor share Resume Database pay-per-view license login credentials with any party.
The Payment Career Resume Database shall not be used:
(a) for any purpose other than as an employer or recruiter seeking employees, including but not limited to advertising promotions, products, or services to any resume holders;
b) to make unsolicited phone calls or faxes or send unsolicited mail, email, or newsletters to resume holders or to contact any individual unless they have agreed to be contacted (where consent is required or, if express consent is not required, who has not informed you that they do not want to be contacted); or
(c) to source candidates or to contact job seekers or resume holders in regards to career fairs and business opportunities prohibited by Section 3.
Additional terms applicable to Job Seekers.
When You register with any Payment Career Site, You will be asked to create an account and provide Payment Career with certain information including, without limitation, a valid email address (Your “Information”).
Any Profile You submit must be accurate and describe You, an individual person. The Profile requires standard fields to be completed and you may not include in these fields any telephone numbers, street addresses, email addresses or other means of contacting You, other than Your last name and URLs.
You acknowledge and agree that You are solely responsible for the form, content and accuracy of any resume or material contained therein placed by You on the Payment Career Sites.
You understand and acknowledge that You have no ownership rights in Your account and that if You cancel Your Payment Career account or Your Payment Career account is terminated, all Your account information from Payment Career, including resumes, Profiles, cover letters, saved jobs, questionnaires will be marked as deleted in and may be deleted from Payment Career’s databases and will be removed from any public area of the Payment Career Sites. Information may continue to be available for some period of time because of delays in propagating such deletion through Payment Career’s web servers. In addition, third parties may retain saved copies of Your Information.
Payment Career reserves the right to delete Your account and all of Your Information after a significant duration of inactivity.
IV. Accounts; Registration; Termination
As part of the registration process, you will be required to provide certain information, including without limitation your name, contact information, credit card information and billing information. You represent and warrant to Payment Career that all information you submit when you create your Account is accurate, current and complete, and that you will keep your Account information accurate, current and complete. If Payment Career has reason to believe that your Account information is untrue, inaccurate, out-of-date or incomplete, Payment Career reserves the right, in its sole and absolute discretion, to suspend or terminate your Account. You agree that your willful provision of inaccurate or unreliable information, willful failure promptly to update information provided to Payment Career or failure to respond for more than fifteen (15) calendar days to inquiries concerning the accuracy of contact details associated with any Services shall constitute a material breach of this agreement justifying suspension or termination of such services.
Payment Career reserves the right to reject any Subscription application for any reason, even if Customer has already purchased other Services from Payment Career. You agree that Payment Career shall not be liable for any loss or damage that may result from such rejection. Payment Career reserves the right to change fees, surcharges, renewal fees or to institute new fees at any time, for any reason, at its sole discretion. Customer’s requested Services will not commence until Payment Career receives actual payment of the initial fee.
You are solely responsible for the activity that occurs on your Account, whether authorized by you or not, and you shall keep your Account information secure, including without limitation your customer number/login, password and payment method(s). You are required to keep your username, password and other sensitive information confidential. You shall notify Payment Career immediately of any breach of security or unauthorized use of your Account. Payment Career will not be liable for any loss you incur due to any unauthorized use of your Account. You, however, may be liable for any loss Payment Career or others incur caused by activities in or through your Account, whether caused by you, an authorized person, or an unauthorized person.
You may cancel your subscription to the services at any time by sending an email to Payment Career at firstname.lastname@example.org alerting Company you no longer wish to Subscribe to Service. Customer acknowledges that all payments are final, and that you will not receive a refund of any payment previously made to Payment Career.
V. Availability of Website/Services
Subject to the terms and conditions of this Agreement, we shall use commercially reasonable efforts to attempt to provide to User the Services on a twenty-four (24) hours a day, seven (7) days a week basis throughout the term of this Agreement. You acknowledge and agree that from time to time this Site may be inaccessible or inoperable for any reason including, but not limited to, equipment malfunctions; periodic maintenance, repairs or replacements that we undertake from time to time; or causes beyond our reasonable control or that are not reasonably foreseeable including, but not limited to, interruption or failure of telecommunication or digital transmission links, hostile network attacks, network congestion or other failures. You acknowledge and agree that we shall not be liable to you or any other party with regard to any damages you incur as a result of the Site or Services being unavailable.
VI. Use of Payment Career’s Content
User acknowledges that the content on the Site and the Services, including without limitation the text, graphics, images, video, metadata, software, scripts, source code, API, graphics, photos, sounds, music, videos and interactive features and the trademarks, service marks and logos contained therein (“Payment Career Content”), are owned by or licensed to Payment Career in perpetuity, and are subject to copyright, trademark, and/or patent protection in the United States and foreign countries, and other intellectual property rights under United States and foreign laws. Payment Career content is provided to you “as is”, “as available” and “with all faults” for your information and personal, non-commercial use only and may not be downloaded, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any purposes whatsoever without the express prior written consent of Payment Career. No right or license under any copyright, trademark, patent, or other proprietary right or license is granted by this Agreement. Payment Career reserves all rights not expressly granted in and to the Payment Career Content, this Site and the Services, and this Agreement do not transfer ownership of any of these rights.
VII. Links to Third-Party Websites
This Site and the Services may contain links to third-party websites that are not owned or controlled by Payment Career. Payment Career assumes no responsibility for the content, terms and conditions, privacy policies, or practices of any third-party websites. In addition, Payment Career does not censor or edit the content of any third-party websites. By using this Site or the Services, you expressly release Payment Career from any and all liability arising from your use of any third-party website.
As a condition of purchasing and using the Services, You acknowledge and agree that Payment Career may provide Your personal information to our partners including but not limited to partners providing customer service, other affiliated entities and technical and/or billing support, as required to provide the Services. Our partners shall be prohibited from using your personal data for any purpose other than providing the Services. We shall use your data only to provide the Services and/or to offer additional services to you. We will not sell or otherwise transfer your data to an un-affiliated company without your consent. Payment Career reserves the right at all times to disclose any information as Payment Career deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Payment Careers’ sole discretion.
IX. Disclaimer of Representations and Warranties
YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THIS SITE AND THE SERVICES SHALL BE AT YOUR OWN RISK. PAYMENT CAREER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, STATUTORY, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
IN ADDITION, YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT NO ORAL OR WRITTEN INFORMATION OR ADVICE PROVIDED BY PAYMENT CAREER, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS (INCLUDING WITHOUT LIMITATION ITS CALL CENTER OR CUSTOMER SERVICE REPRESENTATIVES) WILL (I) CONSTITUTE LEGAL OR FINANCIAL ADVICE OR (II) CREATE A WARRANTY OF ANY KIND WITH RESPECT TO THIS SITE OR THE SERVICES, AND USERS SHOULD NOT RELY ON ANY SUCH INFORMATION OR ADVICE.
THE FOREGOING DISCLAIMER OF REPRESENTATIONS AND WARRANTIES SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, AND SHALL SURVIVE ANY TERMINATION OR EXPIRATION OF THIS AGREEMENT OR YOUR USE OF THIS SITE OR THE SERVICES.
X. Limitation on Liability
PAYMENT CAREER, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS SHALL NOT BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING ANY THAT MAY RESULT FROM (I) THE ACCURACY, COMPLETENESS, OR CONTENT OF THIS SITE, (II) THE ACCURACY, COMPLETENESS, OR CONTENT OF ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, (III) THE SERVICES OR ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, (IV) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE WHATSOEVER, (V) THIRD-PARTY CONDUCT OF ANY NATURE WHATSOEVER, (VI) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY AND ALL CONTENT, PERSONAL INFORMATION, FINANCIAL INFORMATION OR OTHER INFORMATION AND DATA STORED THEREIN, (VII) ANY INTERRUPTION OR CESSATION OF SERVICES TO OR FROM THIS SITE OR ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, (VIII) ANY VIRUSES, WORMS, BUGS, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR FROM THIS SITE OR ANY SITES LINKED (THROUGH HYPERLINKS, BANNER ADVERTISING OR OTHERWISE) TO THIS SITE, AND/OR (IX) ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF THIS SITE OR THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL OR EQUITABLE THEORY, AND WHETHER OR NOT PAYMENT CAREER IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ADDITION, YOU SPECIFICALLY ACKNOWLEDGE AND AGREE THAT IN NO EVENT SHALL PAYMENT CAREER’S TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE PARTICULAR SERVICES THAT ARE THE SUBJECT OF THE CAUSE OF ACTION.
THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, AND SHALL SURVIVE ANY TERMINATION OR EXPIRATION OF THIS AGREEMENT OR YOUR USE OF THIS SITE OR THE SERVICES.
You agree to indemnify, defend and hold harmless Payment Career, its affiliates and their respective directors, officers, employees and agents (collectively, the “Payment Career Group”) from any and all claims, damages, losses, liabilities, suits, actions, demands, proceedings (whether legal or administrative) and all related costs and expenses (including, without limitation, all reasonable legal fees and reasonable costs of investigation, litigation, settlement and judgment) (collectively, “Damages”) threatened, asserted, or filed by a third party against any of the Payment Career Group, or arising out of or relating to (a) the loss or damage to real or personal property, in each case, resulting from the willful misconduct or negligent acts or omissions by you, (b) the use of the Site and/or the Services by you, including, without limitation, any violation of this Agreement, (c) any third party’s rights including the intellectual property or other proprietary right of any person or entity, (d) any information or data supplied by you to Payment Career, and (e) all other acts or omissions by you. You shall have sole responsibility to defend the Payment Career Group against any claim, and you shall not enter into any related settlement without receiving our prior written consent. The indemnification obligations under this section shall survive any termination or expiration of these Terms and Conditions or your use of the Site or the Services.
XII. Fees and Payments
You agree to pay any and all prices and fees due for Services purchased or obtained at this Site at the time you order the Services, or as otherwise required by this Agreement. Any failure to follow all required procedures shall be at Customer’s sole risk. Fees are based on Services purchased. All fees are expressed in U.S. Dollars. ALL PRICES AND FEES ARE NON-REFUNDABLE UNLESS OTHERWISE EXPRESSLY NOTED, EVEN IF YOUR SERVICES ARE SUSPENDED, TERMINATED, OR TRANSFERRED PRIOR TO THE END OF THE SERVICE PLAN. Payment Career expressly reserves the right to change or modify its prices and fees at any time, and such changes or modifications shall be posted online at this Site and effective immediately without need for further notice to you. If you have purchased or obtained Services for a period of months or years, changes or modifications in prices and fees shall be effective when the Services in question come up for renewal.
If for any reason Payment Career is unable to charge your payment method for the full amount owed for the Services provided, or if Payment Career receives notification of a chargeback, reversal, payment dispute, overdraft fee, bounced check, or is charged a penalty for any fee it previously charged to your payment method, you agree that Payment Career may pursue all available lawful remedies in order to obtain payment, including but not limited to, immediate cancellation, without notice to you, of any Services registered or renewed on your behalf. Payment Career also reserves the right to charge you reasonable “administrative fees” or “processing fees” for (i) tasks Payment Career may perform outside the normal scope of its Services, (ii) additional time and/or costs Payment Career may incur in providing its Services, and/or (iii) your noncompliance with this Agreement (as determined by Payment Career in its sole and absolute discretion). Typical administrative or processing fee scenarios include, but are not limited to (i) customer service issues that require additional personal time or attention; (ii) disputes that require accounting or legal services, whether performed by Payment Career staff or by outside firms retained by Payment Career; (iii) recouping any and all costs and fees, including the cost of Services, incurred by Payment Career as the results of chargebacks or other payment disputes brought by Your bank or payment method processor. These administrative fees or processing fees will be billed to the payment method you have on file with Payment Career.
XIII. Successors and Assigns
This Agreement shall be binding upon and inure to the benefit of Customer, Payment Career and Payment Career’s successors and assigns. Customer may not assign this Agreement without the prior written consent of Payment Career.
XIV. No Third-Party Beneficiaries
Nothing in this Agreement shall be deemed to confer any third-party rights or benefits.
XV. Compliance with Local Laws
Payment Career makes no representation or warranty that the content available on this Site or the Services are appropriate in every country or jurisdiction, and access to this Site or the Services from countries or jurisdictions where its content is illegal is prohibited. Users who choose to access this Site or the Services are responsible for compliance with all local laws, rules and regulations.
XVI. Governing Law; Jurisdiction; Venue; Waiver of Trial by Jury
This Agreement shall be governed by and construed in accordance with the federal law of the United States and the laws of the State of New York, whichever is applicable. You agree that any action relating to or arising out of this Agreement shall be brought in the state or federal courts located in New York County, New York, and you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to, jurisdiction and venue in the state and federal courts located in New York County, New York. YOU AGREE TO WAIVE THE RIGHT TO TRIAL BY JURY IN ANY ACTION OR PROCEEDING THAT TAKES PLACE RELATING TO OR ARISING OUT OF THIS AGREEMENT.
XVII. Titles and Headings; Independent Covenants; Severability
The titles and headings of this Agreement are for convenience and ease of reference only and shall not be utilized in any way to construe or interpret the agreement of the parties as otherwise set forth herein. Each covenant and agreement in this Agreement shall be construed for all purposes to be a separate and independent covenant or agreement. If any provision of this Agreement is illegal or unenforceable, that provision is severed from this Agreement and the other provisions remain in force.
This agreement states the full agreement between the parties and supersedes all prior negotiations and agreements concerning the matters addressed herein.
